Mart’s Bags is a registered European brand and manufacturer of custom-made textile products for business clients.
All production, sales, and export operations are carried out under the Mart’s Bags brand by the following legal entities:

Depending on the order type and destination country, invoices and contracts are issued by one of the above entities.
Both companies operate jointly under the Mart’s Bags brand and follow unified production, ethical, and quality standards.
These Terms and Conditions (“Terms”) define the rules for placing, executing, and settling orders for textile products between Mart’s Bags and business Clients established within the European Union.
Both entities listed above operate jointly under the Mart’s Bags brand while maintaining separate legal and tax identities for invoicing purposes.The applicable entity for each transaction is always indicated in the offer or on the invoice.
These Terms apply exclusively to B2B relationships between entrepreneurs under Polish and EU law.
Mart’s Bags does not enter into agreements with consumers.
These Terms form an integral part of every contract concluded between Mart’s Bags and the Client.
Mart’s Bags – collectively refers to MKM Marcin Konowrocki and Martyna Konowrocka, both operating under the Mart’s Bags brand.
Client – a business entity registered for VAT in an EU Member State, holding a valid EU VAT number.
Product – a textile product manufactured by Mart’s Bags according to the Client’s specifications.
Agreement – a sales or supply contract concluded between Mart’s Bags and the Client under these Terms.
Business Days – Monday to Friday, excluding Polish public holidays.
Mart’s Bags provides offers (“Offers”) specifying product parameters, quantities, prices in EUR,
and delivery terms under Incoterms 2020 – DAP (Delivered at Place).
Offers are informational and do not constitute a binding commercial offer under civil law.
Clients are responsible for ensuring the accuracy of all information provided for the order.
Clients providing their own designs guarantee that they hold all copyright and usage rights.
Mart’s Bags uses designs solely for order fulfillment and accepts no liability for third-party claims.
The Client indemnifies Mart’s Bags against all losses arising from unauthorized use of submitted materials.
Orders are confirmed in writing or by email.
The Agreement becomes effective once Mart’s Bags confirms the Order.
Production starts after receipt of full payment, unless otherwise agreed.
Delivery times are indicative and may change due to material or logistic factors.
Clients may request paid product samples to evaluate quality and materials.
Minor variations in shades, texture, or dimensions (±1 cm) are acceptable.
Samples serve as a visual reference and may differ slightly from production batches.
All products are handmade, custom-made, and may vary slightly between items.
Color shades, fabric textures, and print placement differences do not constitute defects.
Design modifications after approval is not possible.
Deliveries to EU Clients are treated as Intra-Community Supplies of Goods (WDT).
A 0% VAT rate applies only if the Client has a valid EU VAT number verified in the VIES system and Mart’s Bags holds proof of shipment to another EU Member State.
Otherwise, Polish VAT will apply.
Invoices are issued in EUR with proper VAT annotations (“0% VAT – WDT” or “Reverse Charge”).
Deliveries are made under Incoterms 2020 – DAP (Delivered at Place).
Transport costs are borne by the Client unless agreed otherwise.
Responsibility for goods passes to the Client upon handover to the carrier.
Complaints must be submitted in writing within 7 days of receiving the goods, including order number, issue description, and photos.
Mart’s Bags responds within 30 days.
Liability for defects is limited to the net value of the order.
Mart’s Bags is not liable for lost profits or indirect damages.
Minor color or fabric variations are not considered defects.
Mart’s Bags’ liability under statutory warranty for defects is fully excluded, in accordance with Article 558 §1 of the Polish Civil Code and Articles 6 and 7 of Regulation (EC) No 593/2008 (Rome I) on the law applicable to contractual obligations.
Both parties must keep all information obtained during cooperation confidential for 10 years after termination of the agreement.
Neither party is liable for non-performance caused by force majeure (e.g., war, strikes, pandemics).
If such an event lasts over two months, either party may terminate the contract without claims.
Mart’s Bags acts as data controller under Regulation (EU) 2016/679 (GDPR).
Data is processed for preparing offers, fulfilling orders, and maintaining cooperation.
Clients have the right to access, rectify, or delete their data.

Mart’s Bags may use photos of completed products in its portfolio or marketing materials unless the Client withdraws consent before production.
All Mart’s Bags designs, trademarks, and creative works remain its exclusive intellectual property.
These Terms are governed by the laws of Poland and applicable EU legislation.
Disputes shall be resolved by the competent court in Poland.
Parties may first seek mediation or arbitration.
In matters not covered by these Terms, Polish and EU law applies.
Invalidity of any provision does not affect the rest.
These Terms are effective as of publication and apply to all EU B2B transactions.
The English version of these Terms prevails in international cooperation.
